Acceptance of Terms</h3><p>Welcome to Forme Coach.</p><p>These Terms of Service and Waitlist Program Terms (“Terms”) govern your access to and use of the Forme Coach website, mobile application, waitlist, referral program, leaderboard, and related services (collectively, the “Services”).</p><p>By registering for the waitlist, creating an account, accessing the Services, or otherwise indicating your acceptance, you agree to these Terms and acknowledge our Privacy Policy.</p><p>If you do not agree to these Terms, please do not use the Services.</p><h3>2. About Forme Coach</h3><p>Forme Coach is a fitness and wellness platform designed to support intentional movement and informed training.</p><p>The platform may provide trainer-designed strength, cardio, and core workout programs, visual exercise demonstrations, technique guidance, and other educational fitness content.</p><p>Workout programs are currently intended to refresh weekly, generally on Sundays, although program availability, schedules, features, and content may change.</p><p>Forme Coach does not currently provide individualized analysis of user-submitted exercise videos or personalized, real-time assessment of exercise technique. Visual demonstrations are educational and do not guarantee that a user will perform an exercise correctly.</p><h3>3. Eligibility</h3><p>To participate in the waitlist and referral program, you must:</p><ul>
<li><p>Be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher.</p></li>
<li><p>Provide accurate registration information.</p></li>
<li><p>Use an email address that you own or are authorized to access.</p></li>
<li><p>Maintain no more than one waitlist account per person.</p></li>
<li><p>Comply with these Terms and applicable laws.</p></li>
</ul><p>Participation is available only where permitted by law. We may restrict access based on geographic, legal, or technical requirements disclosed before enrollment.</p><h3>4. Waitlist Registration</h3><p>Submitting a valid registration form successfully places you on the Forme Coach waitlist.</p><p>You may be assigned a leaderboard entry and a unique referral link upon registration.</p><p><strong>Waitlist registration does not automatically grant early access to the Forme Coach application.</strong></p><p>To qualify for signup points and certain waitlist benefits, you must complete the required email verification process.</p><p>Joining the waitlist is free. No purchase is necessary to participate.</p><h3>5. Email Verification and Signup Points</h3><p>Each eligible participant may earn <strong>10 leaderboard points</strong> by registering for the waitlist and successfully verifying their email address.</p><p>Points are awarded only after successful verification.</p><p>Unverified accounts may remain on the waitlist but will not receive the 10 signup points until verification is completed.</p><p>Signup points may be earned only once per eligible individual. Duplicate accounts, additional email addresses, or repeat registrations do not qualify for additional signup points.</p><p>We may require reasonable additional verification to protect the integrity of the program.</p><h3>6. Referral Program</h3><p>After joining the waitlist, eligible participants may receive a unique referral link to share with others.</p><p>For every eligible new participant who joins the waitlist through that link and successfully verifies their email address, the referring participant earns <strong>50 leaderboard points</strong>.</p><p>A qualifying referral must satisfy all of the following:</p><ol>
<li><p>The referred individual is a genuine, new participant who has not previously registered.</p></li>
<li><p>The individual registers through the referring participant's valid referral link.</p></li>
<li><p>The individual successfully completes email verification.</p></li>
<li><p>The registration is not fraudulent, automated, duplicated, or otherwise ineligible.</p></li>
<li><p>The referral complies with these Terms.</p></li>
</ol><p>Referral points are not awarded for link clicks, page visits, unverified registrations, or self-referrals.</p><p>Referral points may be displayed as pending until the qualifying registration has been verified and processed.</p><p>Unless expressly stated otherwise, each new participant may generate referral points for only one referring participant.</p><p>We are not responsible for referrals that cannot be attributed because a referral link was not used correctly, subject to applicable law.</p><h3>7. Leaderboard Rankings</h3><p>Forme Coach maintains a leaderboard that ranks eligible waitlist participants based on qualifying points.</p><p>Points are calculated as follows:</p>ActivityPointsJoin the waitlist and verify your email+10Each qualifying, verified referral+50<p>Leaderboard positions may change as additional participants earn points or as points are reviewed, corrected, or removed.</p><p>Displayed rankings and points may be provisional until verification is complete.</p><p>Leaderboard standings do not constitute a guarantee of early access until final eligibility and rankings have been confirmed.</p><h3>8. Exclusive Early Access — Top 500</h3><p>At the official close of the waitlist program, the <strong>top 500 eligible participants ranked by valid leaderboard points</strong> will qualify to receive exclusive early access to Forme Coach.</p><p>Early access is awarded based on leaderboard standing, not the order in which participants registered.</p><p>The official program closing date and time, including the applicable time zone, will be published at [Program Closing Date and Time / Official Rules URL].</p><p>Only points earned through qualifying activity completed before the published closing deadline will count toward final rankings, subject to verification.</p><p><strong>Tie-breaking rule:</strong> Where participants have equal point totals at the cutoff, the participant who reached that point total first, according to Forme Coach's recorded timestamps, will rank higher. Any remaining tie will be resolved under a consistently applied, documented procedure published before the program closes.</p><p>Following the close of the waitlist, we may conduct a reasonable verification and fraud review before finalizing the leaderboard.</p><p>Eligible participants will be contacted through their registered email addresses with information about accessing the application.</p><p>Early access is:</p><ul>
<li><p>Personal to the qualifying participant.</p></li>
<li><p>Nontransferable unless we expressly authorize otherwise.</p></li>
<li><p>Subject to platform availability, technical requirements, and applicable law.</p></li>
<li><p>Not redeemable for cash or other compensation.</p></li>
</ul><p>Early access means the opportunity to access the application before its general public release. It does not automatically include a complimentary paid subscription, lifetime access, or access to every feature unless explicitly stated in the applicable offer.</p><p>The timing and duration of early access will be communicated to qualifying participants.</p><h3>9. Fair Participation and Prohibited Conduct</h3><p>We are committed to maintaining a fair and trustworthy waitlist experience.</p><p>The following activities are prohibited:</p><ul>
<li><p>Creating fake, duplicate, or automated accounts.</p></li>
<li><p>Referring yourself using additional email addresses or identities.</p></li>
<li><p>Using bots, scripts, or automated systems to generate registrations.</p></li>
<li><p>Purchasing fraudulent signups or using deceptive referral networks.</p></li>
<li><p>Providing misleading information or impersonating another person.</p></li>
<li><p>Sending unsolicited bulk messages or violating applicable anti-spam laws.</p></li>
<li><p>Manipulating tracking links, referral attribution, or leaderboard data.</p></li>
<li><p>Exploiting technical vulnerabilities or interfering with the Services.</p></li>
</ul><p>Participants must share referral links responsibly and obtain any consent required by applicable law.</p><p>When publicly promoting Forme Coach in exchange for referral points or the opportunity to receive early access, participants must clearly disclose the incentive where legally required.</p><p>We may investigate suspected violations and, based on reasonable evidence, withhold or reverse points, remove invalid referrals, disqualify participants, or restrict access.</p><p>We will make reasonable efforts to apply these rules consistently and provide a way to raise legitimate concerns about point adjustments or disqualification.</p><h3>10. Points Have No Monetary Value</h3><p>Waitlist and referral points are promotional ranking units only.</p><p>Points:</p><ul>
<li><p>Have no cash value.</p></li>
<li><p>Cannot be purchased, sold, transferred, or exchanged.</p></li>
<li><p>Are not a cryptocurrency, security, stored-value product, or payment method.</p></li>
<li><p>Cannot be redeemed for merchandise, subscriptions, or other benefits unless a separate promotion expressly provides otherwise.</p></li>
<li><p>Are used solely to determine standing within the applicable waitlist program.</p></li>
</ul><p>Unused points do not create any entitlement after the program concludes.</p><h3>11. Program Changes, Suspension, and Cancellation</h3><p>Forme Coach may make reasonable changes to the waitlist program when necessary for security, technical integrity, legal compliance, or circumstances beyond our reasonable control.</p><p>We may suspend or cancel the program if fraud, technical failure, or other material circumstances prevent it from operating fairly.</p><p>We will provide reasonable notice of material changes where practicable and required by law.</p><p>We will not retroactively change the published point values or the top-500 selection criteria to participants' disadvantage without an appropriate legal basis, notice, and any required opportunity to withdraw.</p><p>If the program is canceled before early-access recipients are selected, we will explain how participant eligibility and any available early-access opportunities will be handled.</p><h3>12. Fitness and Health Disclaimer</h3><p>Forme Coach provides general fitness education and workout guidance. It does not provide medical advice, medical diagnosis, physical therapy, or individualized medical treatment.</p><p>Physical exercise involves inherent risks, including muscle strain, falls, injury, and other adverse health events.</p><p>Before beginning a new exercise program, consult a qualified healthcare professional where appropriate, particularly if you have an existing medical condition, injury, or concern about your ability to exercise safely.</p><p>You are responsible for selecting appropriate exercises, equipment, intensity, and training conditions for your individual circumstances.</p><p>Stop exercising and seek appropriate medical attention if you experience concerning symptoms.</p><p>Visual demonstrations of correct and incorrect exercise technique are educational examples and are not a substitute for individualized professional supervision.</p><p>No particular fitness, health, aesthetic, or performance result is guaranteed.</p><p>Nothing in these Terms excludes liability that cannot lawfully be excluded.</p><h3>13. Accounts and Security</h3><p>You are responsible for maintaining the security of your account credentials and access to your registered email address.</p><p>You agree to provide accurate information and promptly notify us of suspected unauthorized account activity.</p><p>We may implement reasonable security measures, including verification procedures, rate limits, and account-access restrictions.</p><h3>14. Intellectual Property</h3><p>The Forme Coach name, branding, website, software, workout content, videos, graphics, illustrations, text, and other materials are owned by or licensed to Forme Coach and are protected by applicable intellectual property laws.</p><p>Subject to these Terms, we grant you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Services for lawful personal, noncommercial purposes.</p><p>You may not reproduce, redistribute, sell, reverse engineer, or commercially exploit protected materials without authorization, except as permitted by law.</p><h3>15. Privacy and Communications</h3><p>We collect and process personal information in connection with waitlist registration, email verification, referral attribution, leaderboard operation, account administration, and delivery of the Services.</p><p>Our Privacy Policy, available at [Privacy Policy URL], explains the categories of information collected, purposes of processing, disclosures, retention practices, and applicable privacy rights.</p><p>By registering, you acknowledge that we may send service-related communications necessary to administer your participation, including verification messages, referral updates, leaderboard notifications, and early-access instructions.</p><p>Promotional communications will be sent in accordance with applicable consent and marketing laws. Where required, you may separately choose whether to receive marketing communications and unsubscribe using the provided method.</p><p>We will not treat acceptance of these Terms as blanket consent to unrelated marketing communications.</p><h3>16. Public Leaderboard Information</h3><p>The leaderboard may display a participant's rank, points, referral count, and a display name or other limited identifier.</p><p>We will disclose the information displayed publicly before a participant joins or otherwise obtain any required authorization.</p><p>We will not intentionally publish participants' full email addresses on the public leaderboard.</p><p>Participants may contact us regarding privacy concerns or applicable requests to access, correct, or delete their information.</p><h3>17. Third-Party Services</h3><p>Forme Coach may use third-party providers for hosting, email verification, analytics, payments, referral tracking, and other functionality.</p><p>Third-party services may be subject to their own terms and privacy policies.</p><p>We are not responsible for third-party services beyond the extent required by applicable law.</p><h3>18. App Availability and Future Features</h3><p>The Forme Coach application is under development and may change before or after launch.</p><p>We do not guarantee that all planned features, workout programs, integrations, or functionality will be available at any particular time.</p><p>We may update, improve, replace, or discontinue features, subject to applicable consumer rights and any commitments made to paying subscribers.</p><p>Any future paid subscription will be governed by additional terms and pricing disclosures presented before purchase.</p><p>Joining the waitlist does not enroll a participant in a paid subscription or authorize any future charge.</p><h3>19. Disclaimers</h3><p>To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis, without warranties beyond those expressly provided or required by law.</p><p>We do not guarantee uninterrupted availability, error-free operation, continuous leaderboard updates, or any specific fitness outcome.</p><p>This section does not limit nonwaivable consumer protections or statutory rights.</p><h3>20. Limitation of Liability</h3><p>To the extent permitted by applicable law, Forme Coach and its officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services.</p><p>Our aggregate liability for claims arising under these Terms will not exceed the greater of (a) the amount you paid us for the Services during the 12 months preceding the claim or (b) US$100, except where a different limitation is required by law.</p><p>These limitations do not apply to fraud, willful misconduct, gross negligence where nonexcludable, personal injury or other liability that cannot lawfully be limited.</p><h3>21. Termination and Withdrawal</h3><p>You may request removal from the waitlist by contacting hello@essentialtech.llc or using any available account controls.</p><p>Withdrawal may result in loss of leaderboard participation, points, and eligibility for early access.</p><p>We may suspend or terminate access for material violations of these Terms, subject to applicable law and reasonable procedural safeguards.</p><p>Privacy and deletion requests will be handled under our Privacy Policy and applicable law.</p><h3>22. Governing Law and Disputes</h3><p>These Terms are governed by the laws of [State, United States], without regard to conflict-of-law principles, except where mandatory consumer-protection laws require otherwise.</p><p>The courts located in [County, State] will have jurisdiction over disputes arising from these Terms, except where applicable law provides another forum or requires a different procedure.</p><p>Before initiating formal proceedings, either party may contact the other to attempt an informal resolution.</p><p>Nothing in these Terms limits any right to seek relief from an appropriate regulator or to exercise rights that cannot lawfully be waived.</p><h3>23. Changes to These Terms</h3><p>We may update these Terms to reflect changes to the Services, legal requirements, or business practices.</p><p>When material changes affect existing participants, we will provide notice as required by law.</p><p>Updated Terms will be posted with a revised effective date. Where legally required, we will obtain affirmative acceptance before the changes take effect.</p><h3>24.
